Terms of service

1. Scope

These terms apply to the use of mivochart, the online org chart service operated by MIVO STUDIO S.R.L., Strada Teilor, Nr. 49B, Corp C3, Ap. 2, 407280 Sat Floreşti, Comuna Floreşti, Jud. Cluj, Romania ("we", "us"). By creating an account, buying a plan or using the service you accept them. If you use mivochart for an organisation, you confirm that you may accept these terms on its behalf.

mivochart is offered to businesses and to consumers. Where these terms treat the two differently, they say so. You are a consumer if you use mivochart mainly for purposes outside your trade, business or profession. Nothing in these terms limits the rights that mandatory consumer law gives you.

For business customers, the data processing agreement (DPA) forms part of these terms. Our privacy policy explains how we handle personal data.

2. The service

mivochart lets you create, import, edit, export and share organisation charts in your browser. You can try the editor without an account; an account keeps your charts online and adds sharing, versions and photo storage.

3. The free plan

The free plan costs nothing and has these limits:

  • up to 25 filled positions (people) per chart, plus up to 10 open positions;
  • up to 3 charts;
  • up to 25 photos per chart;
  • up to 3 named versions per chart;
  • PNG and PDF exports carry a small mivochart watermark, and shared charts show a small mivochart badge;
  • PDF exports fit one A4 or Letter page; poster printing, one page per department, A3 and Legal paper, SVG and PowerPoint exports, exporting a single department or branch, embeds, password- and expiry-protected links and comparing versions are paid features.

4. Paid plans

Paid plans remove the limits above and unlock all paid features. You can buy the following (a Team plan is announced as coming soon; it is not sold, and these terms do not cover it yet):

  • Project Pass: €39, paid once. It starts when the payment is confirmed, ends automatically after 90 days and never renews, so there is nothing to cancel. Buying another Project Pass while one is running adds 90 days to the end date. A Pass bought earlier for 30 days keeps the days it was sold with.
  • Extension: +30 days for €15, paid once and never renewing. It can be bought only while a Project Pass is running, or up to 14 days after it ended, and not on Pro. On a running Pass the 30 days are added to the end date; on a Pass that has ended they run from the moment of payment.
  • Pro: €8 per month, billed €96 once a year in advance. Pro renews automatically for another year unless you cancel before the renewal date. You can cancel at any time in the billing portal (Account → Manage billing), without giving a reason; Pro then stays active until the end of the year you have paid for. If you start Pro while a Project Pass is running, €39 is deducted from your first year once (the discount expires when the Pass ends); the remaining Pass days are not refunded, Pro simply takes over.
  • Prices in euros include VAT. Prices in US dollars are shown without tax; any applicable tax is added at checkout. The exact amount, including tax, is shown before you pay. Business customers can enter a VAT ID, in which case the reverse-charge rules may apply.
  • Payments are processed by Stripe. You receive an invoice or receipt from Stripe for each payment.
  • If a yearly renewal payment fails, Pro stays active for 14 days while the payment is retried; if it still fails, the plan ends.
  • “Unlimited” means without the fixed limits of the free plan, subject to fair use (section 7) and to technical limits that protect the service (for example at most 2,000 photos per chart).

5. When a plan ends

We never delete your data because a plan ended. Your charts, people, photos and versions all stay. Every chart can still be opened and viewed in full, and exported as PNG, one-page PDF (with the watermark) and CSV; paid exports such as SVG, PowerPoint, poster print and department export are no longer available. Charts above the free limits (more than 25 people or 10 open positions) become read-only until you are back under the limits or buy a plan again; removing people is always allowed. Plain share links keep working with the badge. Embeds and password- or expiry-protected links are paused (never made public) until a plan is active again.

6. Money-back guarantee and right of withdrawal

14-day money-back guarantee: on your first purchase (a Project Pass, an extension or Pro), you can ask for a full refund within 14 days of paying, without giving a reason, by writing to us. We refund to the original payment method. A refunded Project Pass or extension takes back exactly the days it added (never ending earlier than the moment of the refund); a refunded Pro subscription ends. This guarantee is voluntary and applies to business customers and consumers alike.

Right of withdrawal for consumers: if you are a consumer, you have the statutory right to withdraw from a purchase within 14 days of the day the contract is concluded, without giving any reason. This applies to every purchase, not only the first. To withdraw, send us a clear statement (for example by email) before the 14 days have passed; you can use the model form below, but you do not have to.

Effects of withdrawal: we refund all payments received from you without undue delay and at the latest within 14 days of receiving your withdrawal, using the same payment method you used, unless we agree otherwise; you will not be charged any fees for the refund. Because we do not ask you at checkout to request an early start and to give up the right of withdrawal, you keep this right and receive the full amount back even if you have already used the plan. When we refund, the days or the plan that purchase gave you end as described for the money-back guarantee.

7. Fair use

Use mivochart for your own organisation's charts and in a way that does not harm the service or other customers. In particular, do not:

  • resell, rent out or offer mivochart as a service to third parties, or let people outside your organisation use your paid account;
  • create charts, accounts or requests automatically or in bulk, or put a load on the service that impairs it for others;
  • store files or content in mivochart that are not part of an org chart;
  • try to get around plan limits, access controls, rate limits or the watermark.

8. Your account

You must be at least 16 to create an account, and at least 18 (or have your legal representative's consent) to buy a plan. Give a correct email address, keep your password safe and tell us at once if you suspect someone else is using your account. An account is for one person; use one account per person who edits.

9. Your content and the personal data in it

Your charts and everything you put into them remain yours. You give us the right to store, process, display and transmit them only as far as needed to provide the service to you, for example to show a chart through a share link you turned on. We do not use your content for advertising or to train AI models.

Charts usually contain personal data about employees. Your organisation is the controller for that data and we process it on its behalf under the data processing agreement. You are responsible for having a legal basis for entering it, for informing the people concerned, for involving employee representatives where the law requires it, and for deciding who receives a share link. Do not enter special categories of personal data (such as health data) unless the law allows it.

You must not upload content that is unlawful or infringes the rights of others, for example photos you may not use.

10. Acceptable use

Do not use mivochart to break the law, to infringe the rights of others, to distribute malware, to attack or probe our systems or other users' data, or to collect personal data without a legal basis.

11. Availability and changes

We work to keep mivochart available and secure, but we cannot promise uninterrupted operation; maintenance, updates and events outside our control can cause interruptions. We may develop the service further. If a change removes or significantly reduces a feature you have paid for, we will tell you at least 30 days in advance, and you can then end your plan and receive a refund for the unused part of the paid period.

If you are a consumer, you have the statutory rights for digital services that do not conform to the contract (Directive (EU) 2019/770): we provide the updates, including security updates, needed to keep the service in conformity while your plan runs, and if it does not conform you can ask us to fix it, and if we do not, you can ask for a price reduction or end the contract.

12. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law, and wherever the law does not allow liability to be limited. For simple negligence we are only liable for breach of an obligation that is essential to the contract and on which you may regularly rely, and then only for the damage that is typical and foreseeable for such a contract.

For business customers, our total liability for simple negligence is in addition limited to the amount paid for the service in the 12 months before the event. Please keep your own copies of important charts; the account export makes this easy.

Nothing in this section limits the statutory rights of consumers.

13. Ending the contract and deleting your account

You can stop using mivochart at any time. You can export all your data and then delete your account yourself in the account settings; this deletes your charts, versions, photos and share links at once (copies in backups disappear as described on the retention page). Deleting your account also cancels a running Pro subscription at once, so it can never renew. Deleting an account does not by itself give a refund for the rest of the paid period; the money-back guarantee and the right of withdrawal in section 6 still apply.

We may end or suspend an account if you seriously or repeatedly break these terms, or where the law requires it. Unless there is an urgent risk, we will warn you first and give you a reasonable time to fix the problem and to export your data. If we end a paid plan without you being at fault, we refund the unused part.

We may end the free plan for an account with 30 days' notice. If we ever close the service, we will tell you at least 60 days in advance, refund the unused part of paid plans and keep the export working until the end.

14. Changes to these terms

We may change these terms for valid reasons, such as new features, changes in the law or court decisions. We will tell you about changes that affect your rights at least 30 days before they take effect. If you do not agree, you can end your plan before the change takes effect and we refund the unused part. A Pass already bought keeps the terms that applied when you bought it.

15. Governing law and disputes

These terms are governed by the laws of Romania and the applicable laws of the European Union, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer living in the EU, you also keep the protection of the mandatory law of your country, and you can bring proceedings in the courts there.

For business customers the place of jurisdiction is the courts competent for our registered office in Cluj, Romania.

If we cannot resolve a complaint together, consumers may use the alternative dispute resolution (SAL) procedure of the Romanian National Authority for Consumer Protection (ANPC): https://anpc.ro/ce-este-sal/. Consumers resident in another EU country may also use the alternative dispute resolution body competent where they live.
